$GROW x JuicyFields Giveaway — Terms and Conditions

6th May 2021

1. These Terms and Conditions (“Terms”) apply to the JuicyFields’ Grow token (“GROW”) giveaway program presented by the Grow House team (“Grow House”) on the website: www.grow.house (“Website”). During the giveaway, Grow House plans to distribute “GROW” tokens to participating JuicyField users subject to these terms and conditions.
2. Qualification and Eligibility:

• Each JuicyFields’ User must be at least 21 years of age;
• Each JuicyFields’ User, must own, or have owned, one plant on the JuicyFields’ platform during Thursday 6th May 2021 00:01 UTC — Thursday 3rd June 23:59 UTC (the “Promotion Period”) at a minimum value of EUR 50;
• Each JuicyFields’ User must Register on the Website;
• Each JuicyField’s User must complete the required KYC process for Grow House. (If eligible, You will be asked to complete this process on claiming your tokens);
• You are not eligible if you are a resident, citizen, or “person” of the following restricted countries: Afghanistan, Albania, US, Botswana, Cambodia, Cuba, Ghana, Iran, Iraq, Jamaica, Korea, Libya, Mauritius, Myanmar, Nicaragua, Panama, Pakistan, South Sudan, North Sudan, Syria, Crimea, Trinidad and Tobago, Uganda, Vanuatu, Yemen, Zimbabwe, Jurisdictions in which participation or ownership of tokens is prohibited by an applicable law AND-OR jurisdictions which are subject to United States of America, United Nations, or other applicable sanctions or embargoes.

3. GROW will be allocated on a first come first serve basis to JuicyFields’ Users who complete the Qualification and Eligibility criteria in accordance section 2 of these Terms. The maximum available GROW available to participating JuicyFields’ Users in this promotion is $250,000 at $50 of GROW tokens per JuicyFields’ User (GROW will be issued in this promotion at a price per GROW determined at the listing price)

4. JuicyFields’ Users may only register one account per user. Multiple account registration will be rejected.

5. Grow House decides whether a JuicyFields’ User is eligible to participate in the promotion in its sole discretion, based on the criteria in section 2 of these Terms and is not required to explain its decisions.

6. GROW awarded in this promotion will be delivered to qualifying JuicyFields’ Users on listing of GROW.

7. WARRANTIES AND REPRESENTATIONS:

By accepting these Terms, You warrant and represent the following:

1. You have read and understood the description of GROW and all documentation available via https://grow.house;
2. You have read, understood and agreed to these Terms well as grow.house Terms of Use, and its Privacy Policy;
3. You enter into these Terms voluntarily and based on Your own independent judgment and on advice from independent advisors as You have considered necessary;
4. You are Eligible as described in Section 2 and You have provided accurate information about Yourself to confirm Your eligibility;
5. You have the necessary authority or authorization (in the case of a legal entity) and consent to accept these Terms, to enter into a binding agreement with GROW and to perform the obligations set out herein;
6. You are not a statutory corporation, governmental or semi-governmental authority;
7. You have sufficient knowledge regarding the Distributed Ledger Technology, its functionality, and risks associated with it. You understand risks associated with Your usage of cryptographic tokens, private keys, associated software used to interact with Distributed Ledger Technology platforms (e.g. wallets);
8. You understand and accept that tokens, Distributed Ledger Technology, GROW Tokens, and cryptocurrencies, in general, are new and untested technological solutions outside of our control and, therefore, adverse changes in market forces, law or technology will excuse our performance under these Terms. Transactions using blockchain technology, such as those involving the airdrop, are at risk to multiple potential failures, including computer failure, blockchain failure of any kind, user failure, token theft, hacking and telecommunications or internet failure or disruption;
9. You are aware and agree with the following statements:

a) You are solely responsible for Your private keys and passwords management. If Your private keys or password gets lost or stolen, You may lose Your GROW associated with such private keys and passwords. GROW Tokens will be sent to Your indicated address given during Your registration and Grow House is not responsible and liable in any manner if You lose access to the indicated address that is supposed to receive GROW derived from this promotion. Moreover, GROW is not responsible and liable in any manner for any Your failure to comply with the procedure described in Section 2 and in guidelines posted on the Website that may result in the inability to complete the airdrop for You.

b) You acknowledge and accept that GROW does represent or constitute:

• Any ownership right or stake, share, equity, security, collective investment scheme, managed fund, financial derivative, futures contract, deposit, commercial paper, negotiable instrument, investment contract, note, commodity, bond, warrant, certificate debt or hybrid instrument or any other financial instrument or investment entitling the holder to interest, dividends or any kind or return or carrying equivalent rights (including in respect of GROW or any other company or platform);
• Any right to receive future revenues, shares or any other form of participation or governance right from, in or relating to GROW or any other company or platform;
• Any form of currency, money, deposit or legal tender, whether fiat or otherwise, in any jurisdiction, nor do they constitute any substitute or representation of currency, money, deposit or legal tender (including e-money);

c) You acknowledge, understand, and agree that these Terms do not confer any rights to You except for the right to receive GROW in accordance with the conditions described herein;

d) You acknowledge, understand, and agree that these Terms are neither prospectus, private placement memorandum or any other offer to buy, sell exchange securities nor it is not a solicitation for investment;

e) You will not use GROW Tokens for financing, engaging or in any manner supporting any illegal activity;

f) It is not prohibited to own GROW or enter in such an agreement as these Terms under the laws of jurisdictions of Your residence and citizenship;

g) You will not distribute these Terms, or any advertisement or similar material related to the airdrop to anybody except when it is required by law, or this person is Your authorized advisor;

h) You will observe all applicable laws and regulations in such manner that will, to the best of Your knowledge and belief, result in compliance by You and BCVT in any jurisdiction in which You directly or indirectly:

• purchase, hold, use, offer, sell, transfer, swap, deliver, resell, exchange or otherwise dispose of GROW Tokens;
• enter into or perform Your obligations under these Terms.

10. These Terms do not apply to any promotion outside of this promotion. Standard terms and conditions governing use of the Website are found on the Website. Terms and conditions of Website usage are between each JuicyField’s user and Grow House Ltd, and shall be governed by and construed in all respects in accordance with the laws of Malta.

11. These Terms are between each JuicyFields’ User and MIZ Solutions Ltd, the token issuer for GROW and Grow House. These Terms and any non-contractual obligations arising out of or in relation to it shall be governed by and construed in all respects in accordance with the laws of Costa Rica.
